These Terms govern your use of AI Church. We've written them to be plain, direct, and enforceable — because we mean every word, especially the part about free, forever.

Plain-language summary: AI Church is 100% free, forever, for churches, ministries, and faith-based nonprofits. You may use it, run it, modify it for your congregation. You may not sell it, charge others for it, use it to build a competing product, or strip the licensing or IP notices. These terms protect that promise legally.

1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Boreon Industries LLC ("Boreon," "we," "us," or "our") governing your access to and use of the AI Church software platform, including all source code, documentation, assets, APIs, SDKs, and associated services (collectively, "AI Church").

By downloading, installing, running, accessing, or using AI Church in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization (such as a church, ministry, or nonprofit), you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use AI Church.

2 The Free Forever Commitment

AI Church is free. It will always be free.

Boreon Industries LLC makes an irrevocable public commitment: AI Church will remain free of charge to churches, ministries, and faith-based nonprofits forever. No core church management feature will ever be placed behind a paywall. This is not a marketing claim — it is a legal commitment encoded in the AI Church Community License v1.0.

This commitment flows from our conviction that faith-based software should never carry a price tag. There are companies today charging good, hardworking people of faith hundreds of dollars per month for tools they should have for free. We built AI Church to change that — not as a business strategy, but as an act of service.

The free-forever commitment applies to:

  • All current features of AI Church as of the date these Terms were published
  • All future features added to the core AI Church platform
  • The right of any church, ministry, or faith-based nonprofit to self-host AI Church on their own infrastructure at no cost
  • Access to the full source code of AI Church under the AI Church Community License v1.0

3 Who May Use AI Church

AI Church is designed for and may be used by:

  • Registered churches, parishes, congregations, and denominations of any Christian tradition
  • Evangelical, Catholic, Orthodox, Anglican, Baptist, Methodist, Pentecostal, non-denominational, and all other faith communities
  • Church staff, clergy, deacons, elders, ministers, pastors, and lay leaders
  • Faith-based nonprofits and parachurch ministries (501(c)(3) or equivalent)
  • Missionary organizations and international missions agencies
  • Theological seminaries and Bible colleges using AI Church for ministry training purposes
  • Individual developers and IT volunteers building or maintaining church technology for the above

Use of AI Church by any person or entity not listed above is subject to additional review and may be prohibited. When in doubt, contact us at admin@sermonassistant.ch.

4 Prohibited Uses

The following uses of AI Church are strictly prohibited and constitute material breaches of these Terms, the AI Church Community License v1.0, and applicable law:

  • Commercial exploitation: Using AI Church, or any substantial portion of its source code, design, architecture, or concepts, to build, operate, or market any commercial software product or service — including but not limited to church management software, giving platforms, ministry tools, or pastoral care software — whether sold, subscribed to, licensed, or otherwise monetized.
  • Charging churches: Charging any church, ministry, nonprofit, or faith community any fee for access to AI Church or a derivative of AI Church, under any pricing model (subscription, per-seat, freemium, tiered, or otherwise).
  • Resale and redistribution: Reselling, sublicensing, leasing, or otherwise transferring rights to AI Church or its source code to any third party for commercial gain.
  • IP stripping: Removing, altering, obscuring, or circumventing the AI Church license header, Boreon watermark, IP notices, trademark attributions, faith dedication ("Soli Deo Gloria"), or Pope Leo dedication from any version of AI Church or any derivative work.
  • Trademark misuse: Using "AI Church," "Sermon Assistant," "Boreon," or any confusingly similar name or mark in connection with any product, service, or organization without express written consent from Boreon Industries LLC.
  • Competitive intelligence abuse: Systematically scraping, crawling, or data-mining the AI Church demo instance, Knowledge Base, or SDK documentation for the purpose of building a competing product or service.
  • Unauthorized white-labeling: Deploying AI Church as a white-labeled product under a different brand name for use by multiple organizations without written permission from Boreon.
  • Malicious use: Using AI Church to engage in fraud, harassment, stalking, discrimination, or any activity that violates applicable law or the dignity of any person.
  • Misrepresentation: Claiming ownership, authorship, or origination of AI Church, its source code, design, or brand.
Enforcement. Boreon Industries LLC actively monitors for violations and will pursue legal remedies under the U.S. Copyright Act (17 U.S.C. § 501 et seq.), the Lanham Act (15 U.S.C. § 1125), the Defend Trade Secrets Act, and applicable international law including the Berne Convention and TRIPS Agreement. Statutory damages under U.S. copyright law can reach $150,000 per willful infringement. We will not hesitate to seek injunctive relief, disgorgement of profits, and attorneys' fees.

5 Intellectual Property

All right, title, and interest in and to AI Church — including all source code, documentation, design systems, UI/UX patterns, artwork, Higgsfield 4K HDR visual assets, brand assets, SDK, Knowledge Base articles, and all other components — are and shall remain the exclusive intellectual property of Boreon Industries LLC, protected as follows:

The grant of the AI Church Community License v1.0 does not transfer any ownership interest. All IP remains with Boreon Industries LLC. Any derivative works created under the license are subject to the same license and the same IP restrictions.

AI Church is a joint product of Boreon Industries LLC and KWAM.CH. All rights belong to Boreon Industries LLC and KWAM.CH collectively.

6 Trademark

Boreon™ is the trademark of Boreon Industries LLC, registered or used in the United States of America. It is the single umbrella brand under which all of our software is published.

AI Church and Sermon Assistant are the names of software products offered under the Boreon™ umbrella. They are not separately claimed trademarks; they are product names owned by Boreon Industries LLC and protected as part of the Boreon brand and the intellectual property described in Section 5.

The Boreon™ mark, and the "AI Church" and "Sermon Assistant" product names, may not be used in connection with any product, service, or organization without the prior written consent of Boreon Industries LLC, except as follows:

  • Nominative fair use: You may refer to "Boreon," "AI Church," or "Sermon Assistant" by name to accurately describe the software you are using, provided you do not imply endorsement or affiliation with Boreon beyond what these Terms permit.
  • Attribution: If you publish, blog, or present about AI Church, you may use the names "AI Church," "Sermon Assistant," and "Boreon" to accurately attribute the software.

Unauthorized commercial use of the Boreon™ mark or of the AI Church and Sermon Assistant product names is a violation of federal trademark and unfair-competition law under the Lanham Act and will be prosecuted accordingly.

7 The License

AI Church is distributed under the AI Church Community License v1.0, the full text of which is available in the LICENSE file in the AI Church repository and at aichurch.boreon.com/LICENSE.

Under that license, Boreon grants you a non-exclusive, non-transferable, royalty-free license to:

  • Download, install, run, and operate AI Church for your church, ministry, or faith-based nonprofit
  • Modify the source code to customize it for your congregation's needs
  • Share the unmodified source code with other eligible users (churches and ministries)

This license expressly does not permit any of the Prohibited Uses listed in Section 4. The license is conditioned on your continued compliance with these Terms and the AI Church Community License v1.0.

The AI Church Community License is not an open-source license in the OSI sense. It includes restrictions on commercial use that OSI-approved licenses do not. Review it carefully before building on AI Church.

8 Contributions

If you submit code, documentation, translations, or other contributions to AI Church (via pull request, patch, or otherwise), you agree that:

  • Your contribution is your original work and you have the right to contribute it
  • By submitting, you grant Boreon Industries LLC a perpetual, irrevocable, worldwide, royalty-free license to use, modify, reproduce, publish, and distribute your contribution as part of AI Church
  • Boreon may include your contribution under the AI Church Community License v1.0 or any future version of that license
  • You waive any moral rights in your contribution to the extent permitted by law

Boreon retains the right to accept, reject, or modify any contribution for any reason. Contributing to AI Church does not entitle you to any ownership interest, compensation, or attribution beyond what we choose to provide.

9 Third-Party Services

AI Church integrates with third-party services (Anthropic Claude API, Twilio, Planning Center, Breeze, Stripe, and others). These integrations are optional and configured with your own credentials. By enabling a third-party integration, you:

  • Accept that service's own terms of service and privacy policy
  • Acknowledge that Boreon is not responsible for the conduct, availability, or data practices of that service
  • Accept full responsibility for complying with that service's terms while using AI Church

Boreon does not endorse any third-party service and makes no representations about their suitability, security, or reliability. API costs for third-party services (including Anthropic Claude API charges) are your responsibility.

10 Disclaimer of Warranties

AI CHURCH IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOREON INDUSTRIES LLC AND KWAM.CH DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that AI Church will be uninterrupted, error-free, secure, or free of viruses
  • Any warranty regarding the accuracy, completeness, or reliability of AI-generated content
  • Any warranty that AI Church will meet your specific requirements

AI-generated content (sermons, newsletters, pastoral letters, analytics narratives) produced by the AI Studio and AI Assistant is generated by large language models and may contain errors, hallucinations, or inappropriate content. All AI output must be reviewed and approved by a qualified human before use in ministry contexts.

11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOREON INDUSTRIES LLC, KWAM.CH, THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, business, goodwill, or congregation members
  • Damages arising from your use of or inability to use AI Church
  • Damages arising from third-party integrations or services
  • Damages arising from any AI-generated content

BOREON'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO AI CHURCH SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12 Indemnification

You agree to defend, indemnify, and hold harmless Boreon Industries LLC, KWAM.CH, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of AI Church
  • Your violation of these Terms or the AI Church Community License v1.0
  • Your violation of any third-party right, including any intellectual property right or privacy right
  • Any claim that your use of AI Church caused damage to a third party

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to its conflict of law provisions.

For matters involving intellectual property infringement, Boreon reserves the right to seek relief in any court of competent jurisdiction worldwide, including U.S. federal courts, Swiss courts, and any court having jurisdiction over a defendant's assets or activities.

14 Dispute Resolution

Before initiating any formal legal proceeding, parties agree to attempt to resolve disputes informally by contacting Boreon at admin@sermonassistant.ch with the subject line "DISPUTE:" and a description of the issue. We will attempt to respond within 10 business days.

If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English. Notwithstanding the foregoing, Boreon may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights without first resorting to arbitration.

Class Action Waiver: You agree that any arbitration or claim shall be conducted on an individual basis only, and not as a class, consolidated, or representative action.

15 General Provisions

15.1 Entire Agreement

These Terms, together with the AI Church Community License v1.0 and our Privacy Policy, constitute the entire agreement between you and Boreon with respect to AI Church and supersede all prior or contemporaneous understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

15.3 No Waiver

Boreon's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Boreon's prior written consent. Boreon may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

15.5 Changes to These Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date. Material changes will be announced on the AI Church website. Your continued use of AI Church after changes become effective constitutes acceptance of the revised Terms. We will never remove or reduce the free-forever commitment or the restrictions on commercial use — those are permanent.

15.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Boreon. You act as an independent operator of software that Boreon has made freely available.

16 Confidentiality & Master Non-Disclosure Agreement

The Boreon NDA is the master agreement. Every non-disclosure or confidentiality agreement you have entered, or will enter, with Boreon Industries LLC or any of its affiliates, divisions, or brands (including KWAM and Sermon Assistant) governs your access to and use of all Boreon properties as a single, unified obligation — and controls in the event of any conflict.

16.1 Covered Properties

All non-disclosure agreements (each, an "NDA") in effect between you and Boreon Industries LLC — together with its affiliates KWAM and Sermon Assistant — apply in full force across the entire Boreon family of digital properties, including but not limited to:

Confidentiality obligations attach to each of these properties and to any successor, subdomain, application, API, repository, or service operated under them, whether or not a property-specific agreement separately references confidentiality. Access to any one property constitutes access under, and acceptance of, the NDA.

16.2 The Master NDA Controls

The Boreon Master Non-Disclosure Agreement (the "Master NDA") is the controlling and superseding confidentiality instrument across all covered properties. Where any property-specific terms, click-through agreement, license, or other document addresses confidentiality and conflicts with the Master NDA, the Master NDA governs to the extent of the conflict. No property-specific term reduces, waives, or narrows the protections of the Master NDA, and the Master NDA's protections apply in addition to — never in derogation of — the intellectual-property protections set out in Section 5 of these Terms.

16.3 Confidential Information

"Confidential Information" includes, without limitation: source code, architecture, algorithms, data models, unreleased features, security configurations, API keys and credentials, business and financial information, product roadmaps, pricing, partner and customer information, and any other non-public information disclosed by Boreon or observed in connection with any covered property, in any form and whether or not marked "confidential." You shall (a) hold all Confidential Information in strict confidence, (b) use it solely for the purpose for which it was disclosed, and (c) not disclose it to any third party without Boreon's prior written consent.

16.4 Survival & Remedies

Confidentiality obligations under the Master NDA survive the termination of these Terms, the cessation of your use of any covered property, and the expiry of any property-specific agreement, and continue for so long as the information remains non-public. You acknowledge that any breach would cause irreparable harm for which monetary damages are inadequate, and that Boreon is entitled to seek injunctive and other equitable relief — in addition to all remedies available at law or under Sections 13 and 14 of these Terms — in any court of competent jurisdiction, without the necessity of posting a bond.

16.5 No Conflict, No Waiver

Nothing in these Terms supersedes the Master NDA with respect to confidentiality; rather, these Terms incorporate the Master NDA by reference. If you have not executed a separate written NDA with Boreon, your acceptance of these Terms and your access to any covered property constitute your agreement to the confidentiality obligations described in this Section as though set forth in a fully executed Master NDA.
